In Investment banking, Buy-side and Sell-side are very commonly used terms. On the Buy side, the role of the banker is to work with clients who are potential buyers looking for potential targets to invest their capital. On the sell side, a banker works with clients who are potential sellers and are looking for potential buyers to acquire their business or a part thereof. Buy-side clients are potential acquirers who have raised capital from their investors and now looking to exploit exciting investment opportunities. Sell-side clients are the ones who are planning to raise capital from equity or debt issue (through public issues or private placement) or to get acquired by a bigger organization.

Buy-side clients rely on expert advice to find profitable investment opportunities at attractive valuations to maximize their investment returns (subject to risk and other constraints). Similarly, sell, side clients are also reliant upon expert professional advice to get the highest possible valuations for their offerings.

 

Both the Buy and Sell side advisory involve in-depth analysis and research. On the buy side, the advisor analyses potential targets or security issues to judge their soundness and appropriateness for the client. On the sell side, the advisor researches the client’s company to come out with valuations and a list of potential buyers where the maximum possible prices can be negotiated.

In both the buy and sell sides, potential synergies between the target and acquirer’s business are considered and priced in valuations. Valuation is performed using techniques such as Discounted cash flow analysis (DCF), Comparable company analysis (CCA), Precedent transactions analysis, etc.

Sell-side research and valuation reports are shared externally with potential buyers, which means they have to be extremely presentable and easy to understand with limited complexities. On the buy side, analysis is usually more complex and detailed.
